# Crysalt Software Licence Agreement

**Version 1.0 · 24 August 2026**

**In short** *(a plain summary, not a substitute for the terms below):* Crysalt is **free to download and
use for your own evaluation and internal business purposes**. You may **not** redistribute it, resell it,
offer it as a service, or build it into another product or service. It is provided **"as is", with no
warranty**, and the Licensor's liability is **limited to the maximum extent the law allows** — its predictions
are **estimates you must independently verify**, you use it **at your own risk**, and you **indemnify the
Licensor** for claims arising from your use. **All other rights — including all commercial, redistribution,
hosting, and OEM rights — are reserved by the Licensor.** For a commercial or distribution licence, contact
the Licensor (§17).

**Origin.** Crysalt began as research software developed at **Heriot-Watt University**. The current
implementation was substantially rewritten and extended from 2026 onwards, adding the Pitzer activity model,
pressure-corrected solubility products, gas partitioning, validation against published experimental data and
PHREEQC, and all integration surfaces.

## 1. Acceptance of this Licence

This is a legal agreement between You and the Licensor. **By downloading, installing, copying, accessing, or
using the Software, You agree to be bound by this Licence.** If You do not agree, do not download, install,
access, or use the Software. If You accept this Licence on behalf of an organisation, You represent that You
have authority to bind that organisation, and **"You"** then means that organisation. **The Software is
licensed for professional and business use; it is not designed, intended, or directed for consumer use.**

## 2. Definitions

- **"Software"** means the Crysalt software in this distribution — including the engine, the calculator, the
  MCP server, command-line/API tools, accompanying data, and documentation — in source or binary form, and
  any Updates the Licensor provides under this Licence.
- **"Updates"** means patches, bug fixes, and minor updates the Licensor makes available for the version of
  the Software licensed to You; Updates form part of the Software and are governed by this Licence.
- **"Outputs"** means the results, predictions, and data the Software produces from Your inputs.
- **"Third-Party Components"** means open-source or other third-party software, libraries, and data included
  in or distributed with the Software (see §6).
- **"Licensor"** means **Duarte Jorge Alves de Carvalho e Silva** (currently the individual author; the
  Licensor may assign this Licence and all rights in the Software, e.g. to a company — see §14).
- **"You"** / **"Licensee"** means the individual or entity exercising the rights under this Licence.

## 3. Licence grant

Subject to Your compliance with this Licence, the Licensor grants You a **non-exclusive, non-transferable,
non-sublicensable, royalty-free, revocable** licence to **download, install, and use** the Software for Your
own internal evaluation and business purposes, at no charge.

## 4. Restrictions

Except as expressly permitted in §3, and except to the extent applicable law prohibits a given restriction,
You shall **not**:

1. distribute, publish, sublicense, sell, rent, lease, lend, or otherwise make the Software available to any
   third party;
2. offer the Software, or its functionality, to third parties as a hosted, managed, or "as-a-service"
   offering, or as part of any product or service provided to third parties;
3. incorporate, embed, bundle, or integrate the Software into another product, platform, or offering;
4. reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, except to
   the limited extent applicable law expressly permits despite this restriction;
5. modify, adapt, translate, or create derivative works of the Software;
6. remove, obscure, or alter any copyright, trademark, or other proprietary notices; or
7. use the Software, its Outputs, or its accompanying data to develop, train, benchmark, or assist any
   product, service, model, or dataset that competes with the Software.

Any of the above is available **only** under a separate written agreement with the Licensor.

## 5. Reservation of rights; ownership

The Software is **licensed, not sold.** Except for the Third-Party Components (§6), and **as between You and
the Licensor**, the Licensor retains **all right, title, and interest** in and to the Software, including all
intellectual-property rights and the compilation of its accompanying data. **All rights not expressly granted
in §3 are reserved**, including all commercial, redistribution, hosting, sublicensing, and OEM rights. No
rights are granted by implication, estoppel, or otherwise. As between You and the Licensor, You retain
ownership of Your input data; the Licensor claims no rights in it.

## 6. Third-Party Components and data

The Software includes **Third-Party Components**, each governed by **its own licence**, identified in
**THIRD-PARTY-NOTICES.md** accompanying the Software (also published at `/third-party-notices.txt`). Nothing
in this Licence alters Your rights or obligations under those licences, and to the extent of any conflict
regarding a given component, that component's licence governs that component. The Software's parameter and
reference **data are compiled from publicly available scientific literature and databases**; the Licensor does
not claim ownership of those underlying facts or sources, which are attributed in the documentation. All
Third-Party Components and data are provided **"as is"**, and the disclaimers and limitations in §§8–9 apply
to them.

## 7. Feedback

If You give the Licensor feedback, suggestions, or ideas about the Software (**"Feedback"**), You grant the
Licensor a **perpetual, irrevocable, worldwide, royalty-free** licence to use, modify, and incorporate the
Feedback for any purpose, without obligation, payment, or attribution. You are not obliged to give Feedback.

## 8. Disclaimer of warranties

THE SOFTWARE IS PROVIDED **"AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.**
To the maximum extent permitted by law, the Licensor disclaims all warranties, express, implied, statutory, or
otherwise, including any implied warranties of **merchantability, satisfactory quality, fitness for a
particular purpose, accuracy, and non-infringement**, and any warranty that the Software will be uninterrupted,
error-free, or secure.

**Scientific/engineering disclaimer.** The Software computes **estimates and predictions** of mineral-scale
behaviour using thermodynamic models with **known limitations and bounded parameter coverage**. Outputs may be
**inaccurate or incomplete** and depend entirely on the inputs provided. **You are solely responsible for
independently verifying all Outputs** and for any decisions or actions taken based on them. The Software is
**not a substitute for professional engineering judgement** and **must not be used as the sole basis for any
safety-critical, operational, financial, environmental, or design decision.**

**No reliance; no duty of care; no professional relationship.** The Software provides general computational
Outputs, not professional, engineering, or advisory services. Use of the Software **does not create any
advisory, fiduciary, or professional relationship** between You (or any third party) and the Licensor, and the
Licensor **assumes no duty of care** to You or to any third party in respect of the Software or its Outputs.
You must **not represent the Outputs to any third party as warranted, certified, or guaranteed** by the
Licensor.

**Statutory rights.** Nothing in this Licence excludes or limits any right or remedy that cannot be excluded
or limited under applicable law (including, where and to the extent You deal as a consumer, Your statutory
rights). The exclusions and limitations in §§8–9 apply only to the extent permitted by applicable law.

## 9. Limitation of liability

To the maximum extent permitted by law, in no event will the Licensor be liable for any **indirect,
incidental, special, consequential, exemplary, or punitive damages**, or for any **loss of profits, revenue,
production, data, goodwill, or business**, or for **business interruption or damage to equipment or
property**, arising out of or relating to the Software, its Outputs, or this Licence, under any theory of
liability (including contract, tort/negligence, or otherwise), even if advised of the possibility of such
damages. To the maximum extent permitted by law, the Licensor's **total aggregate liability** arising out of
or relating to the Software, its Outputs, or this Licence will **not exceed the greater of (a) the total fees
You paid for the Software (which, under this Licence, is £0) and (b) £100.**

Nothing in this Licence excludes or limits liability that cannot be excluded or limited under applicable law
(for example, liability for death or personal injury caused by negligence, or for fraud or fraudulent
misrepresentation).

## 10. Indemnity

To the maximum extent permitted by law, You will **indemnify, defend, and hold harmless** the Licensor from
and against any third-party claims, demands, liabilities, losses, damages, and reasonable costs (including
reasonable legal fees) arising out of or relating to: (a) Your use of the Software or its Outputs; (b) any
decision, product, service, advice, or representation You make or provide based on the Software or its
Outputs; or (c) Your breach of this Licence or of applicable law.

## 11. Compliance and export control

You will comply with all laws applicable to Your use of the Software, including **export-control, sanctions,
and anti-corruption** laws. You will not use, export, or re-export the Software, or make it available to any
person or in any country, in violation of such laws.

## 12. Term and termination

This Licence is effective until terminated. It **terminates automatically** if You breach any term, and the
Licensor may otherwise **terminate or revoke** it at any time. On termination, You must **stop using and
delete all copies** of the Software. **Sections 4–11 and 14–16, and any rights or obligations that by their
nature should survive, survive termination.**

## 13. Updates and versions

The Licensor has no obligation to provide Updates, support, or maintenance. **Updates** for Your version are
governed by this Licence (§2). The Licensor may release **new versions** of the Software under **different
licence terms**; this Licence governs only the version it accompanies.

## 14. Assignment

You may **not** assign or transfer this Licence or any rights under it without the Licensor's prior written
consent. The **Licensor may freely assign** this Licence and all rights in the Software (including to a
successor entity or company), and this Licence binds permitted successors and assigns.

## 15. Governing law and jurisdiction

This Licence is governed by the laws of **England and Wales**, without regard to conflict-of-laws rules, and
the courts of **England and Wales** have exclusive jurisdiction.

## 16. General

This Licence is the **entire agreement** between You and the Licensor regarding the Software and supersedes
all prior understandings. If any provision is held unenforceable, the remaining provisions remain in effect
and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while
preserving its intent. The Licensor's failure to enforce any provision is **not a waiver**. Headings are for
convenience only.
